Attorney-Agent for Real Estate Transactions in Toulouse

Sale and purchase mandates, negotiation and drafting

As an attorney-agent for real estate transactions (AMTI), Maître Vincent Vialard can take on a sale or purchase mandate and act at every stage of the transaction.

Lawyer and Real Estate Transaction Agent: Scope of the Firm’s Work

Buying, selling or letting a property involves large sums and has lasting tax consequences (capital gains, registration duties, IFI real estate wealth tax, ownership structure). Lawyers may act as real estate transaction agents, within the framework of the French Bar’s national rules of professional conduct (Règlement intérieur national, RIN); the firm does so alongside its legal and tax practice.

As an attorney-agent for real estate transactions (AMTI), Maître Vincent Vialard is authorized to act as a real estate intermediary while bringing stronger legal and tax certainty. This dual role allows him to lead negotiations, draft the documents and optimize the tax treatment of each transaction.

Attorney-Agent for Real Estate: What Role, and How Does It Differ from a Real Estate Agent?

An attorney-agent is a lawyer who receives a written mandate from a client to sell, buy, search for or let a property. Article 6.3 of the RIN allows a lawyer to act as a real estate transaction agent, after notifying the Bar (Ordre des avocats) under article 6.4. According to the National Bar Council (Conseil national des barreaux, CNB), this mandate is ancillary to the lawyer’s practice and follows on from prior legal advice: the lawyer handles the transaction because he or she is already advising the client on the situation behind it (inheritance, separation, business succession, relocation abroad, restructuring of assets).

Steps in a sale mandate handled by the lawyer

  1. Initial consultation: review of the seller’s situation and of the tax consequences of the sale (capital gains, ownership structure, what happens to an SCI).
  2. Written mandate and fee agreement: the mandate sets out the nature, scope and duration of the assignment (RIN, article 6.2); the fee agreement sets the fees before any work begins.
  3. Property history and valuation: review of the title deeds and the property’s history, and an asking price consistent with the market.
  4. Marketing: publishing the listing, receiving and screening prospective buyers, organizing viewings.
  5. Negotiation and preliminary contract: review of offers, negotiation, drafting of the preliminary sale agreement (promesse or compromis de vente).
  6. Through to completion: monitoring the conditions precedent and the formalities with the notary, who executes the final deed of sale (acte authentique).

Scope of the firm’s work

From the office at 9 allées François Verdier in Toulouse, Maître Vincent Vialard handles sales, purchases, property search mandates and lettings, for owners in Toulouse as well as clients based abroad. Each mandate covers a specific transaction: the lawyer can neither settle nor bind the client through an offer without the client’s specific written authorization (RIN, article 6.2). When the sale raises a particular tax issue, it is dealt with in the same file, for example VAT on the margin when land is sold or the taxation of an SCI subject to corporate income tax.

Attorney-agent or real estate agent: the differences

  • Status: a real estate agent carries on a commercial activity governed by the Hoguet Act of 2 January 1970. For a lawyer, any commercial activity is incompatible with the profession (RIN, article 6.2): the real estate mandate is an extension of the advisory role.
  • Professional ethics: the lawyer remains bound by professional secrecy and by the rules on independence and conflicts of interest, including when acting as agent.
  • Integrated advice: the same person analyzes the legal and tax consequences of the transaction and drafts the preliminary contract.
  • Fees: they are set in a written fee agreement signed before any work begins. Billing methods are explained on our fees and fee agreement page.

Why Choose an Attorney-Agent for Real Estate Transactions?

  • Legal and tax expertise: the tax consequences (capital gains, registration duties, IFI) and estate implications (SCI, split ownership between usufruct and bare ownership, transfer to the next generation) are taken into account from the first review of the file.

  • Professional liability: the lawyer is covered by the professional liability insurance arranged through the Bar.

  • Analysis in context: each transaction is reviewed in light of the client’s situation (family, business, investment, relocation abroad).

  • Reasoned negotiation: each offer is analyzed from a legal and tax standpoint before it is made or accepted.

  • Bilingual French/English: ideal for expatriates and foreign investors in France.

VV Avocat acts as real estate transaction agent for clients who want the negotiation, the documents and the tax analysis handled by a single legal adviser.
